These Terms of Service ("Terms") govern your access to and use of the NextLink Essentials+ platform, websites and related services (collectively, the "Services") provided by NextLink Essentials+ ("NextLink Essentials+", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account, requesting a demo, or otherwise using the Services, you confirm that you have read, understood and agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Use of the Services

You may use the Services only in compliance with these Terms and all applicable laws. You agree not to:

• Use the Services in any way that violates any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Services, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer, decompile or otherwise attempt to extract the source code of the Services, except to the extent permitted by law.
• Resell, sublicense or use the Services to build a competing product.

3. Accounts

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. You must provide accurate and complete information when creating an account and keep it up to date.

4. Subscriptions and Payment

Certain features of the Services may require a paid subscription. Fees, billing cycles and applicable terms are described at the time of purchase or in a separate order form. Unless otherwise stated, fees are non-refundable and exclusive of taxes. We may change pricing on a going-forward basis with reasonable notice.

5. Customer Data

You retain all rights to the data you submit to the Services ("Customer Data"). You grant us a limited license to host, process and use Customer Data solely to provide and improve the Services. You are responsible for the accuracy and legality of your Customer Data and for obtaining any necessary consents.

6. Intellectual Property

The Services, including all software, design, text, graphics and trademarks, are owned by NextLink Essentials+ or its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in and to the Services.

7. Third-Party Services

The Services may integrate with or link to third-party products and services. We are not responsible for the content, policies or practices of any third party. Your use of third-party services is governed by their own terms.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, secure or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, NextLink Essentials+ will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising out of these Terms or the Services will not exceed the amount you paid us in the twelve months preceding the claim.

10. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we are required to do so by law. You may stop using the Services at any time. Upon termination, your right to use the Services will cease, and we may delete Customer Data in accordance with our data retention practices.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last updated" date above. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
